These Terms govern access to www.cloudratics.com and, when expressly incorporated into an accepted order or agreement, the products and services supplied by Cloudratics Pvt Ltd, trading as Cloudratics, based in Karachi, Pakistan (“Cloudratics,” “we,” “us,” or “our”). “You” means the person or organization using the relevant website or service.
1. Acceptance and contract documents
These Terms are presented for acceptance where required. A paid engagement begins when both parties accept the applicable proposal, order, subscription, or agreement. If you act for an organization, you must have authority to bind it. If you do not accept applicable terms, do not place an order or use a service requiring that acceptance.
A signed agreement, accepted order, statement of work, data processing agreement, or service level agreement governs its specific subject matter and prevails over conflicting general Terms to that extent. Browsing the website does not create a paid development or support engagement.
2. Products and scope
Cloudratics offers software products and services that may include SAMS, Nexone ERP, Ordez, custom software, web and mobile applications, AI integrations, ecommerce, design, and related technical services. Only the features, licenses, deliverables, integrations, deployment arrangements, and support expressly included in your accepted agreement form part of your purchase.
Website examples, prototypes, estimated results, mock dashboard figures, and roadmaps are illustrative unless expressly included in the agreement. We will not remove a contracted material feature during a paid term except as the agreement or applicable law permits.
3. Your responsibilities and acceptable use
You must provide accurate information, keep credentials secure, control authorized users, and ensure you have rights and a lawful basis for data and materials you supply. Notify us promptly of suspected unauthorized access. You are responsible for your organization’s instructions, permissions, notices, and lawful use of the service.
Do not use our website or services for unlawful activity, fraud, harassment, infringement, unauthorized surveillance, malicious code, interference, or unauthorized access. Do not bypass access controls, extract data without authorization, or resell access beyond the agreed license. Restrictions on analysis or reverse engineering apply only to the extent permitted by law.
4. Fees and payment
Fees, currency, taxes, deposits, milestones, renewal arrangements, third-party costs, and payment deadlines are set out in the accepted agreement or order. A demo or consultation does not require a purchase unless a charge is clearly disclosed and accepted beforehand. Recurring billing applies only when expressly agreed, with renewal and cancellation terms disclosed.
We will identify material out-of-scope work or additional charges for approval before proceeding. If an invoice is disputed in good faith, notify us promptly with the reason; both parties will work to resolve it while undisputed amounts remain payable. Any late fees must be expressly agreed and lawful.
5. Delivery and changes
Timelines depend on agreed scope, access, approvals, content, and third-party dependencies. Each party must promptly flag circumstances that may affect delivery. Material scope changes require agreement on cost, timing, and deliverables. We will not treat silence as acceptance of a deliverable unless a clear review and acceptance procedure was expressly agreed.
6. Cancellation and refunds
Cancellation, refunds, subscription termination, and project handover follow the accepted agreement and mandatory law. Nothing in these Terms removes a refund or other remedy required by law.
Where the agreement does not address an early project cancellation, the parties will review completed work, deliverables provided, approved non-cancellable costs, and unused prepaid amounts, and document a fair settlement. A blanket no-refund rule does not apply through these Terms. A trial does not convert into a paid subscription unless the conversion terms were disclosed and accepted.
7. Intellectual property and customer data
You retain ownership of your pre-existing materials and customer data. You grant us permission to process and use them only as needed to perform the agreed services, follow lawful instructions, and meet legal obligations.
Cloudratics and its licensors retain ownership of pre-existing software, product platforms, libraries, tools, methods, and reusable components. Product access is licensed under the accepted order; purchasing access does not transfer ownership of the platform.
For custom work, the agreement must identify what intellectual property transfers, any payment conditions, and what remains licensed. Source code, design files, repositories, hosting accounts, and deployment credentials are included only where expressly agreed. Third-party and open-source components remain subject to their own licenses. Portfolio use of your name, logo, or non-public work requires your permission.
8. Privacy confidentiality and sensitive data
Our Privacy Policy explains personal information handling; it is not a substitute for consent where consent is required. Each party must protect the other’s confidential information and use it only for the engagement, with disclosure limited to authorized recipients, lawful requirements, or information already lawfully public or independently developed.
Where we process personal information for your organization, the parties must put appropriate processing terms in place. Do not supply biometric, health, children’s, or other specially protected data until the relevant scope, safeguards, legal responsibilities, and notices are agreed. These Terms alone do not authorize sensitive-data processing.
9. AI services and external providers
AI outputs may be inaccurate, incomplete, biased, or unsuitable for a particular purpose. Verify outputs before relying on them, especially for legal, financial, medical, employment, or other consequential decisions. AI output is not professional advice or a guarantee of an outcome.
Cloudratics provides its own chatbot and may deliver other AI features within an agreed engagement. Relevant provider use, data handling, and restrictions must be disclosed and agreed for that engagement. Whether any customer content may be used for model improvement or training must be expressly addressed in the applicable agreement and privacy information; these Terms do not themselves grant permission for that use. Availability, usage limits, and third-party terms may affect integrations; we will discuss material changes affecting contracted services.
External hosting, payment, messaging, app-store, domain, and integration services may have separate terms and charges. Responsibility for administering those accounts and renewing licenses must be stated in your agreement.
10. Support availability and security
Support hours, maintenance, uptime commitments, backups, recovery arrangements, updates, and security responsibilities are those expressly agreed for the relevant service. No 24-hour support, uptime percentage, or recovery guarantee arises solely from these Terms. This does not override an express promise in your agreement or mandatory legal obligations.
Both parties must take reasonable steps within their control to protect access and data. Where you control hosting, devices, backups, or configurations, you remain responsible for those elements unless management is included in our scope. We remain responsible for obligations expressly assigned to us.
11. Suspension and termination
We may restrict access proportionately where reasonably necessary to address an immediate security risk, unlawful use, a material breach, or overdue undisputed payment. Where practical, we will give notice and a reasonable chance to resolve the issue before suspension. Emergency restrictions will be explained as soon as reasonably possible.
Termination rights, notice periods, export assistance, retention, and deletion follow the applicable agreement and law. For hosted services, an export and deletion process should be agreed before termination. Neither party may retain the other’s data or materials in a way that breaches applicable law.
12. Warranties and liability
We will provide services with reasonable care and skill. Further warranties, acceptance remedies, and service commitments are set out in your agreement. We do not guarantee a particular revenue, search ranking, AI citation, or business result unless expressly agreed as an enforceable commitment.
Any agreed liability cap, excluded losses, and exceptions must be stated in your signed agreement or accepted order. These general Terms do not introduce a monetary cap. Neither party is required to compensate losses to an extent prohibited by applicable law. Nothing excludes liability for fraud, deliberate misconduct, or any liability or remedy that cannot lawfully be excluded or limited.
13. Events outside reasonable control
A party affected by an event beyond its reasonable control must promptly notify the other, take reasonable steps to reduce its effects, and resume performance when possible. Such an event does not excuse payment for services already supplied. Prolonged disruption and any prepaid unused services will be addressed under the agreement or a mutually documented settlement, subject to mandatory law.
14. Governing law and disputes
Unless a signed agreement states otherwise, these Terms are governed by the laws of Pakistan. The parties will first seek to resolve disputes through good-faith discussions. Subject to mandatory jurisdiction and consumer protections, unresolved disputes may be brought before the competent courts in Karachi, Pakistan.
15. Changes and general provisions
We may update website terms prospectively and publish a revised effective date. Material changes to an existing paid engagement require the notice and acceptance process set out in its agreement or applicable law; publication alone does not rewrite a signed contract. If a provision is unenforceable, the remaining provisions continue to apply so far as legally possible. A failure to enforce a right does not waive it.
